Official Rules

No Purchase or text message Necessary TO ENTER OR WIN.   

 

1. Eligibility: The NCAA® March Madness® Bracket Refresh promotion (the “Promotion”) is open only to legal residents of  the 50 United States (or the District of Columbia) who are 13 years of age or older and who have a Coke.com or MCR account at the time of entry.  Employees and non-employee workers of The Coca‑Cola Company, Coca‑Cola bottlers, National Collegiate Athletic Association® (“NCAA”), Turner Broadcasting System, Inc., CBS Broadcasting Inc., HelloWorld, Inc., and their respective parent companies, subsidiaries, affiliates, agents and any prize providers, agencies and suppliers that are involved in the development or execution of this Promotion or any of its materials, and the immediate family (spouse, parents, siblings, and children) and household members of each such person are not eligible.  The Promotion is subject to all applicable federal, state, and local laws and regulations and is void where prohibited by law. The Promotion is based on outcomes of the basketball games in the 2017 NCAA® Division I Men's Basketball Tournament (the "Tournament") and consists of a bracket-style instant win game in two phases (the "Bracket" and the "Bracket Refresh," respectively, also called herein "Instant Win Game"), a sweepstakes for those who hold a game piece for a team that wins the Tournament (the "Grand Prize Sweepstakes") and a sweepstakes for those who play the Bracket or Bracket Refresh and do not win an Instant Win Game game piece from a given play (the "NCAA® March Madness® Bracket Refresh Sweepstakes"). The outcomes the Tournament will determine which holders of which game pieces will be eligible to receive gifts and/or prizes in this Promotion.

 

2. Sponsor: The Coca-Cola Company, One Coca-Cola Plaza, Atlanta, GA 30313.

Administrator: HelloWorld, Inc., 3000 Town Center, Suite 2100, Southfield, MI 48075.

The NCAA® is neither a sponsor nor administrator of the Promotion.

 

3. Agreement to Official Rules: By participating in the Promotion, entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor and Administrator, which are final and binding in all matters related to the Promotion.   

 

4. Promotion Period: The Promotion begins at 12:00 p.m. Eastern Time ("ET"), February 20, 2017 and ends at 12:00 p.m. ET, March 23, 2017 (except for 3/16 at 12:01 p.m. ET – 3/20 at 11:59 a.m. ET when the instant win games will be unavailable) (the "Promotion Period") and is comprised of 2 instant win game phases, as set forth in the table below:

5. How to Enter: You will need a Coke.com or MCR account to participate. There are 2 ways to play the Bracket or Bracket Refresh Instant Win Game to try to obtain a virtual game piece (each a "Game Piece"), each of which represents a team in the Tournament. The region ("Region") and the seed ("Seed") of the team will be indicated on the Game Piece if you receive it before Selection Sunday.  At the start of the Bracket phase, there will be 64 unique teams. At the start of the Bracket Refresh, there will be 16 unique teams:

a. Purchase Coca-Cola-branded or POWERADE-branded Products to Obtain Codes: Each participating Coca‑Cola-branded or POWERADE-branded product that you purchase will contain a unique code under the cap or inside the packaging ("Product Code"). For shrinkwrap packaging, only manual code entry is available. During the Promotion Period, visit www.coke.com/bracketrefresh and join or login using your Coke.com or MCR credentials.  Follow the links and instructions to provide your Product Code (either by typing it in online or by scanning it if you are entering on your mobile device) and you will automatically proceed to the applicable instant win game phase and get one play. If you are a winner in the applicable instant win game, you will receive 1 randomly-selected virtual Game Piece based on the quantities and odds stated below.  If you do not win the applicable instant win game, you automatically will receive 1 entry into the NCAA® March Madness® Bracket Refresh Sweepstakes regardless of the phase during which you played.

If you enter the Promotion by scanning a Product Code, your wireless service provider's text message and data rates apply.  Entrants should consult their wireless service provider’s pricing plan for details.  You agree to incur any and all charges demanded by your wireless carrier.

b. Alternate Method of Entry ("AMOE"): To participate in the Promotion without making a purchase, visit www.coke.com/bracketrefresh and log in using your Coke.com credentials.  Follow the links and instructions to CLICK HERE and you will automatically proceed to the applicable instant win game phase and get one play. If you are a winner in the applicable instant win game, you will received 1 randomly-selected virtual Game Piece based on the quantities and odds stated below.  If you do not win the applicable instant win game, you automatically will receive 1 entry into the NCAA® March Madness® Bracket Refresh Sweepstakes.

The Instant Win Game is not compatible with systems using Opera Web Browsers. 

 

For Both Methods of Entry: Limit: 5 instant win game plays per person per day during the Promotion Period. Therefore, there is a limit of up to 5 Game Pieces or the allowable number of NCAA® March Madness® Bracket Refresh Sweepstakes entries per day depending whether it is during the Bracket phase or the Bracket Refresh phase, or some combination thereof, regardless of method or combination of methods of entry, during the Promotion Period. Multiple participants are not permitted to share the same email address, Coke.com or MCR Account. All plays/entries must take place during the Promotion Period. Any attempt by any participant to obtain more than the stated number of plays/Game Pieces/entries by using multiple/different email addresses, identities, Coke.com or MCR Accounts, registrations and logins, or any other methods will void that participant’s plays/Game Pieces/entries and that participant may be disqualified.  Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents (including, but not limited to, sweepstakes entry services) will void all plays/Game Pieces/entries by that entrant.  In the event of a dispute as to any play/Game Piece/entry, the authorized holder of the Coke.com or MCR Account used to enter will be deemed to be the entrant. Potential winners may be required to show proof of being the authorized account holders.

 

If you win a Game Piece, before Selection Sunday™ which is scheduled for 3/12/17, your Game Piece will indicate on it the Region and the Seed that has been assigned to you. This will correspond to the seeding that is assigned for the NCAA Men’s DI Basketball Tournament on Selection Sunday™. Once a team has been assigned to your specific Region and Seed, watch to see if your team wins its game. If it does, every entrant who has a Game Piece with a team that wins the First Round, Second Round, NCAA® Sweet Sixteen®, Elite Eight®, and Final Four® rounds will receive the specified gift. See gift details in Section 9, below. For the final game of the Tournament only, if you have a Game Piece with the team that wins the Tournament, you will be entered for a chance to win the Grand Prize in the Grand Prize Sweepstakes.  See Section 8, below for additional details.  

 

6. How to Create a Coke.com Account: Visit www.coke.com/bracketrefresh and click on the sign up/sign-in link and follow the instructions to register for a Coke.com account. To become a member, you must have a unique, valid email address. Accounts cannot be shared. If you already have a Coke.com or MCR account or other Coca‑Cola account, please use that. Limit: 1 account per person, across all Coca‑Cola websites.

 

7. ALL POTENTIAL GAME PIECE AND PRIZE WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR OR ADMINISTRATOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION.  AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE PROMOTION SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT'S ELIGIBILITY, AND THE POTENTIAL WINNING PLAY/ENTRY/GAME PIECE HAVE BEEN VERIFIED, AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.  SPONSOR WILL NOT ACCEPT SCREEN SHOTS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS.  ANY PLAY THAT OCCURS AFTER THE INSTANT WIN GAME SYSTEM HAS FAILED FOR ANY REASON IS DEEMED A DEFECTIVE PLAY, IS VOID, AND WILL NOT BE HONORED.

 

8. Promotion Prize Selection, Game Piece Distribution, and Verification of Potential Winners: Potential winners must comply with all terms and conditions of these Official Rules.  Winning is contingent upon fulfilling all requirements. Administrator is an independent judging organization whose decisions as to the administration and operation of the Promotion and the selection of potential winners are final and binding in all matters related to the Promotion.

 

For the Instant Win Games (Bracket and Bracket Refresh): Game Pieces will be randomly distributed during the Promotion Period based on the quantities listed in the chart below. Up to 800,000 Game Pieces will be distributed during the Bracket Phase and up to 90,000 Game Pieces will be distributed during the Bracket Refresh phase. Only teams that are playing in the Sweet Sixteen will be awarded during the Bracket Refresh phase. Limit: up to 1 of each Game Piece/team per person. Once teams have been assigned to the Regions and Seeds for the Tournament, follow the team that corresponds to your Game Piece to see if you will receive a gift or be eligible for the Grand Prize Sweepstakes.   

 

For the Grand Prize Sweepstakes and the NCAA® March Madness® Bracket Refresh Sweepstakes: Administrator will randomly select the potential Grand Prize and NCAA® March Madness® Bracket Refresh Sweepstakes Prize winners from among all eligible entries for the applicable prize, on or around 5 days after the end of the Tournament and each selected entrant will be the potential winner of the applicable prize. The potential winners will be notified by email, mail, or phone.  

 

For All Gifts and Prizes: On or about 4 days after the end of each round of the Tournament, each potential recipient of a gift for his or her team advancing to the next round of the Tournament will receive the gift "tagged" to his or her Coke.com account and must claim the gift within 7 days or forfeit the gift. Be sure your Coke.com account includes your valid email address. The potential Grand Prize winner and the potential NCAA® March Madness® Bracket Refresh Sweepstakes Prize winner (or potential winner's parent/legal guardian if winner is a minor in his/her state of residence) will be required to sign and return to Administrator a Declaration of Compliance, Liability and Publicity Release (the "Declaration"), which must be received within 5 days of the date notice or attempted notice is sent, in order to claim his/her prize.  If any potential winner cannot be contacted, fails to sign and return the Declaration (for prizes valued at $600 or more only), or if prize is returned as undeliverable, he/she forfeits the prize. In the event that a potential Sweepstakes prize winner is disqualified for any reason, Administrator will award the prize to an alternate winner in a random drawing from among all eligible entries for the applicable prize, up to 3 alternate drawings. If the alternate potential winners are disqualified, the applicable prize will not be awarded. Unclaimed or forfeited gifts will remain unawarded. Non-travel gifts will be fulfilled up to 10 to 12 weeks after the conclusion of the Promotion.

The odds of obtaining a particular Game Piece will depend on multiple factors. Those factors include the quantity of that particular Game Piece available, the Game Pieces/teams you already have, which instant win game phase the Promotion is in at the time you play, how many people have participated, and the total quantity of Game Pieces available for that phase (890,000 is the total possible number of Game Pieces, 800,000 in Bracket phase and 90,000 in Bracket Refresh phase), and the functionality of the Instant Win Game.

 

9. Prizes and Gifts:

 

a. Grand Prize Sweepstakes Prize:

 

1 Grand Prize: A check for $25,000 made out to the winner; and a POWERADE® Hydration Kit prize pack, all details determined by Sponsor in its sole discretion. Approximate Retail Value ("ARV") $25,750.

 

Odds of winning the Grand Prize will depend on the number of eligible entrants who hold the Game Piece of the team that wins the Tournament and in which phase of the Instant Win Game they received the applicable Game Piece.

 

b. NCAA® March Madness® Bracket Refresh Sweepstakes Prize:

 

1 NCAA® March Madness® Bracket Refresh Sweepstakes Prize: A trip for 2 to the 2018 Final Four®  in San Antonio, TX; and a POWERADE® Hydration Kit prize pack, all details determined by Sponsor in its sole discretion. Trip prize package includes round trip, coach-class air transportation for 2 from a major airport near winner’s home (determined by Sponsor in its sole discretion); 2 nights' accommodations at Sponsor's choice of hotel (single room, double occupancy); ground transportation between airport and hotel; 2 tickets to the 2018 NCAA® Men’s Final Four®, which includes the National Semifinals & Championship Final Games (seat locations to be determined by Sponsor in its sole discretion); a $500 prepaid gift casrd that may be used for spending money; and travel agent services. Winner must travel on the dates specified by the Sponsor, surrounding the 2018 NCAA® Final Four® game, or prize will be forfeited.  Travel must be round trip.  Sponsor will determine airline and flight itinerary in its sole discretion.  No refund or compensation will be made in the event of the cancellation or delay of any flight.  Travel is subject to the terms and conditions set forth in these Official Rules, and those set forth by the Sponsor's airline carrier of choice as detailed in the passenger ticket contract.  If trip destination is less than 250 miles from the winner's residence, winner will be provided $200 in spending money for driving expenses in lieu of air transportation. Sponsor is not responsible if any scheduled event is delayed, postponed or cancelled for any reason and winner will not be reimbursed. Tickets may be subject to issuer’s standard rain-check policies and procedures.  All expenses, travel, and other costs not expressly stated in the package description above are the sole responsibility of winner.  If winner is a minor (as determined by his/her state of residence), winner's guest must be winner's parent/legal guardian.  If winner’s guest is a minor (as determined by his/her state of residence), winner must be minor’s parent/legal guardian and must complete required paperwork on behalf of minor, as applicable. Travel companion must execute liability/publicity releases prior to issuance of prize documents. Restrictions, conditions and limitations may apply.  Lost, mutilated, or stolen tickets, vouchers or certificates will not be replaced.  By accepting ticket prize, winner agrees to abide by any terms, conditions and restrictions provided by the ticket.  Sponsor is not responsible if winner does not use ticket on day of event.  ARV: $10,750.  The ARV of travel may vary based on airfare fluctuations and distance between departure and destination.  Winner will not receive difference between actual and approximate retail value.

 

Odds of winning the NCAA® March Madness® Bracket Refresh Sweepstakes prize will depend on the number of eligible entries received for this prize (when a player does not receive a Game Piece during one of the instant win game phases) during the Promotion Period.

 

c. Game Piece Gifts:

 

There are 2 levels of gifts, based on whether you received a team's Game Piece in the Bracket phase or in the Bracket Refresh phase. If you have a team/Game Piece that you received in the Bracket phase and a team/Game Piece that you received in the Bracket Refresh phase, and both teams advance in a given round, you will receive the gift that is for the team that your received in the Bracket phase only (which is a higher-value gift).

 

NOTE: There is a limit of 1 of each type of gift per person per Instant Win Game phase (1 in Bracket and 1 in Bracket Refresh). Also, if you receive a Game Piece/team that has already won a round, you will not be given the gift(s) associated with that team's previous wins. Gifts must be claimed by 7 days after they are tagged to your Coke.com account or they will be forfeited.  

 

The number of gifts awarded in this Promotion will depend on the number of participants in each phase of the Instant Win Game as well as all of the outcomes of the games in the Tournament, including without limitation the Seed of the teams that play in the final game.

 

BRACKET ROUND (Pre-Refresh Gifts): Every person who has a Game Piece that he or she received during the Bracket Round for a team that wins in round 1 will be given a First Round gift.  Every person who has a Game Piece that he or she received during the Bracket Round for a team that wins in round 2 will be given a Second Round gift.  Every person who has a Game Piece that he or she received during the Bracket Round for a team that wins in the NCAA® Sweet Sixteen® will be given a Sweet Sixteen gift. Every person who has a Game Piece that he or she received during the Bracket Round for a team that wins in the NCAA® Elite Eight® will be given an Elite Eight gift. Every person who has a Game Piece that he or she received during the Bracket Round for a team that wins in the NCAA® Final Four® will be given a Final Four gift. Every person who has a Game Piece that he or she received during the Bracket Round for a team that wins the entire Tournament will receive 2 entries into the Grand Prize Sweeptakes drawing.

 

First Round Gift: Digital content download A. There is no retail value to this gift.   

 

Second Round Gift: Digital content download B. There is no retail value to this gift.   

 

Sweet Sixteen Gift: A digital coupon valid for a free 20 ounce Coca‑Cola branded beverage.  ARV: $1.69.

BRACKET REFRESH ROUND (Post-Refresh Gifts): Every person who has a Game Piece that he or she received during the Bracket Refresh Round for a team that wins in the NCAA® Sweet Sixteen® will be given a Sweet Sixteen gift. Every person who has a Game Piece that he or she received during the Bracket Refresh Round for a team that wins in the NCAA® Elite Eight® will be given an Elite Eight gift. Every person who has a Game Piece that he or she received during the Bracket Refresh Round for a team that wins in the NCAA® Final Four® will be given a Final Four gift. Every person who has a Game Piece that he or she received during the Bracket Refresh Round for a team that wins the entire Tournament will receive 1 entry into the Grand Prize Sweeptakes drawing.

 

Sweet Sixteen Gift: Digital content download A. There is no retail value to this gift.  

 

Elite Eight Gift: A digital coupon valid for a free 20 ounce Coca‑Cola branded beverage.  ARV: $1.69.

 

Final Four Gift: A digital $5 retail gift card, terms and conditions apply. ARV: $5.

 

The odds of winning a Game Piece gift/prize will depend on both the odds of receiving a particular Game Piece as explained in Section 8, above, and whether a particular team wins in the applicable round of the Tournament.        

 

For All Gifts and Prizes: Terms and conditions of coupons, digital codes/gift certificates, and tickets apply.  Sponsor and Administrator are not responsible for complaints or issues regarding digital codes/certificates (claims that digital code/certificate is invalid, insufficient, etc.) and winner should address any such issues with the issuer of the digital code/certificate.  No substitution, exchange or transfer of gift or prize by any winner.  Sponsor reserves the right to substitute any gift or prize for one of equal or greater value.  Each gift recipient/prize winner is responsible for all taxes and fees associated with gift or prize receipt and/or use.  Limit: 1 of each level of gift or prize per person, per Instant Win Game phase (Bracket or Bracket Refresh). ESTIMATED MAXIMUM TOTAL ARV OF ALL GIFTS AND PRIZES: $1,911,450.  

 

10. Publicity: Except where prohibited, participation in the Promotion constitutes entrant’s consent for Sponsor and its designees to use entrant’s name, statement, gift or prize information, likeness, photo from NCAA® March Madness® Bracket Refresh Sweepstakes Prize trip, and city and state of residence for promotional purposes in any media without further consideration.

 

11. General Conditions: In the event that the operation, security, or administration of the Promotion is impaired in any way for any reason, including, but, not limited to, fraud, technical failures, regularly-scheduled maintenance, virus or other technical problem, the Sponsor may, in its sole discretion, either: (a) suspend the Promotion to address the impairment and then resume the Promotion in a manner that best conforms to the spirit of these Official Rules; or (b) cancel the Promotion and award the Game Pieces/gifts/prizes in a random drawing from among all eligible entries received up to the time of impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of the Official Rules of this or any other promotion, or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.  The Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

 

12. Release and Limitations of Liability: Except where prohibited, by participating in the Promotion, entrants agree to release and hold harmless The Coca-Cola Company, Coca-Cola bottlers, the National Collegiate Athletic Association “NCAA”, Turner Broadcasting System, Inc., CBS Broadcasting Inc., HelloWorld, Inc., and their respective parents, subsidiaries, affiliates, promotional partners, prize partners, agents and agencies, and the officers, directors and employees of each of them (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Promotion or receipt or use of any gift or prize, including, but not limited to: (a) unauthorized human intervention in the Promotion; (b) technical errors related to computers, servers, providers, printers or telephone or network lines; (c) printing errors; (d) errors in the administration of the Promotion or the processing of registrations and game plays; (e) late, lost, or undeliverable mail; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Promotion or receipt, use or misuse of any gift or prize, including any related travel. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Promotion and in no event shall the Released Parties be liable for attorney’s fees.  Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.  If for any reason an entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another Sweepstakes entry or Instant Win Game play, if it is possible. If the Promotion, or any part of it, is discontinued for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any gift or prize offered herein.  No more than the stated number of prizes will be awarded.  In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth herein to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.  NCAA, Final Four, NCAA Sweet Sixteen, and Elite Eight are trademarks of the National Collegiate Athletic Association.  This is not intended to be used as a gambling device, but strictly for entertainment purposes only. The NCAA and The Coca‑Cola Company do not promote, endorse, or condone gambling or sports wagering of any kind.

 

13. Dispute Resolution: You agree that any claim or dispute at law or equity that has arisen or may arise relating in any way to or arising out of the Promotion, the Official Rules, or the Sponsor's and/or Administrator's Privacy Policy (including Mobile Terms and Conditions) will be resolved in accordance with the provisions set forth in this Dispute Resolution section. Please read this section carefully. It affects your rights and will have a substantial impact on how claims you and we have against each other are resolved.

 

You agree that whenever you have a disagreement with Administrator or Sponsor arising out of, connected to, or in any way related to the Promotion, the Official Rules, or the Sponsor's and/or Administrator's Privacy Policy (including Mobile Terms and Conditions), you will send a written notice to the Administrator (“Demand”). You agree that the requirements of this Dispute Resolution section will apply even to disagreements that may have arisen before you accepted these Official Rules or the Sponsor's and/or Administrator's Privacy Policy (including Mobile Terms and Conditions). You must send the Demand to the following address (the “Notice Address”): Legal Department, HelloWorld, Inc., 3000 Town Center, Suite 2100, Southfield, MI 48075. You agree that you will not take any legal action, including filing a lawsuit or demanding arbitration, until 10 business days after you send a Demand. If the disagreement stated in the Demand is not resolved to your satisfaction within 10 business days after it is received, and you intend on taking legal action, you agree that you will file a demand for arbitration with the American Arbitration Association (the “Arbitrator”). This arbitration provision limits the ability of you, Administrator, and Sponsor to litigate claims in court and you, Administrator, and Sponsor each agree to waive your respective rights to a jury trial or a state or federal judge. You agree that you will not file any lawsuit against Administrator or Sponsor in any state or federal court. You agree that if you do sue in state or federal court, and Administrator or Sponsor brings a successful motion to compel arbitration, you must pay all fees and costs incurred by Administrator and Sponsor in court, including reasonable attorney’s fees. For any such filing of a demand for arbitration, you must effect proper service under the rules of the Arbitrator and notice to the Notice Address may not be sufficient. If, for any reason, the American Arbitration Association is unable to conduct the arbitration, you may file your case with any national arbitration company. The Arbitrator shall apply the AAA Consumer-Related Disputes Supplementary Procedure effective September 15, 2005 (and as may be amended) and as modified by the agreement to arbitrate in this Dispute Resolution section. You agree that the Arbitrator will have sole and exclusive jurisdiction over any dispute you have with Administrator or Sponsor. The Federal Arbitration Act allows for the enforcement of arbitration agreements and governs the interpretation and enforcement of the agreement to arbitrate.

 

You agree that you will not file a class action or collective action against Administrator or Sponsor, and that you will not participate in a class action or collective action against them. You agree that you will not join your claims to those of any other person. Notwithstanding any other provision in the Official Rules, or the Sponsor's and/or Administrator's Privacy Policy (including Mobile Terms and Conditions), if this class action waiver is invalidated, then the agreement to arbitrate is null and void, as though it were never entered into, and any arbitration dispute at that time will be dismissed without prejudice and may be refiled in a court. Under no circumstances do you, Administrator, or Sponsor agree to class or collective procedures in arbitration or the joinder of claims in arbitration. Administrator and Sponsor agree that we will submit all disputes with you to arbitration before the Arbitrator.

 

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant, Administrator, and Sponsor in connection with the Promotion, or any claim or dispute that has arisen or may arise between you, Administrator and Sponsor, shall be governed by, and construed in accordance with, the laws of the State of Michigan without giving effect to any choice of law or conflict of law rules.
